Résumé: يعد عقد الاستثمار الدعامة الرئيسية لاقتصاديات الدول التي تصبوا إلى تشجيع الاستثمار الأجنبي، نظرا لما يقدمه المستثمر الأجنبي من خبرات فنية وتكنولوجية وكذا رؤوس أموال ضخمة، ويندرج عقد الاستثمار ضمن طائفة عقود الدولة المبرمة في إطار الاستثمار، ويتبين ذلك من خلال الضوابط المحددة لهذا العقد. تمزم الطبيعة الخاصة والغير متجانسة لأطراف عقد الاستثمار تحديد القانون الواجب التطبيق عمييم، تجنبا لأي نزاع قد ينشأ بينهم، والذي يحدد غالبا من طرف المتعاقدين أو المحكمين. يشمل عقد الاستثمار غالبا على شروط مميزة له، فبالإضافة لتوفره على الشروط التي تتضمنها جميع العقود الأخرى فإنه يشمل أيضا على الشرط المحدد للاختصاص التشريعي وهو الشرط الثبات التشريعي، وكذا الشرط الذي يقوم على تسوية الخلافات المترتبة على عقد الاستثماروهو شرط التحكيم التجاري الدولي. The investment contract is the main pillar of the economies of the countries that are most interested in encouraging foreign investment from technical, technological and so enormous capital, and the investment contract is included in the range of investment contracts of the state, as evidenced by the specific controls of this contract. The private and heterogeneous nature of the parties to the investment contract is bound to determine the law applicable to them, in order to avoid any dispute that could arise between them, often determined by contractors or arbitrators. The investment contract often includes special conditions, as well as the conditions of all other contracts, it also includes the specific requirement of legislative competence, the requirement of legislative consistency, the condition for the settlement of disputes arising from an investment contract, and the requirement for international commercial arbitration.
