هيكلة مجمع الشركات في التشريع الجزائري / Structuring Of The Corporate Complex In Algerian Legislation

Résumé: مجمع الشركات هو عبارة عن صورة من صور التركيز الاقتصادي أفرزتها الظروف الاقتصادية والاجتماعية، فأصبحت فكرة تكتل المشاريع وتوحدها من خلال تركيز إمكانياتها المالية والبشرية، مسألة ضرورية وحيوية بل أصبحت شرطا جوهريا للوحدات الاقتصادية، حتى تتضمن بناءها واستمرار نشاطها وتجعلها تتكيف بصورة مستمرة مع التطورات والتغيرات الاقتصادية والاجتماعية. وفي الجزائر أول ظهور لفكرة مجمع الشركات بمناسبة صدور القانون التجاري لسنة 1975، وقد حاولنا من خلال هذه الورقة البحثية التطرق إلى هيكلة مجمع الشركات في التشريع الجزائري ،وذلك من خلال التطرق للإطار المفاهيمي للشركات القابضة والشركات التابعة أولا، ثم الأسس القانونية لقيام مجمع الشركات في الأخير المسؤولية الناتجة عن سيطرة الشركة القابضة على الشركة التابعة لها، معتمدين في الدراسة على المنهج الوصفي التحليلي، أما النتيجة المتوصل إليها خلال الدراسة أن تحقيق الرقابة في مجمع الشركات ،لا يتحقق إلا بقدرة الشركة القابضة على توجيه السياسة المالية والاقتصادية للشركة التابعة بطريقة تتماشى مع إستراتيجية الشركة القابضة. The corporate complex is a form of economic focus produced by economic and social conditions, the idea of conglomerating projects and uniting them by focusing their financial and human potentials has become a necessary and vital issue, but rather it has become an essential condition for economic units, to include building and continuing their activities and making them constantly adapt to developments and economic and social changes. And in Algeria, the first appearance of the idea of the companies complex on the occasion of the issuance of the commercial law for the year 1975, and we have tried through this research paper to address the structure of the companies complex in the Algerian legislation, by touching on the conceptual framework for holding companies and subsidiaries first , then the legal basis for the corporate complex to eventually assume responsibility resulting from the holding company’s control of its subsidiary, relying in the study on the descriptive analytical approach. As for the result reached during the study, achieving control in the corporate complex is only achieved by the holding company’s ability to direct financial policy And economic growth of the subsidiary in a manner consistent with the holding company strategy.
