Résumé: الملخص: يعتبر مبدأ الإفصاح والشفافية من المبادئ الأساسية التي تقوم عليها الحوكمة في الشركات التجارية، وذلك نظرا لما يمثله من شفافية وحماية لجميع الأطراف المتعاملين ، والهدف منه هو الكشف عن المعلومات الهامة للمساهمين ويتجسد ذلك عن طريق إعلام المساهم باطلاعه على مجموعة من الوثائق التي تتضمن معلومات كافية عن نشاط الشركة، وينبغي أن يكون الإفصاح حقيقيا ودالا بوضوح عن المركز المالي للشركة حتى يمكن المساهم من اتخاذ القرار المناسب بشأن علاقته مع الشركة وأن يكون في الوقت المناسب ،وقد حدد المشرع الجزائري المدة ب 30 يوم قبل انعقاد الجمعية العامة كما حدد الوثائق التي يحق للمساهم الإطلاع عليها، كجدول حسابات النتائج والوثائق التلخيصية والحصيلة وقائمة القائمين بالإدارة ومجلس المديرين أو مجلس المراقبة،تقارير مندوبي الحسابات التي ترفع للجمعية،المبلغ الإجمالي المصادق على صحته من مندوبي الحسابات، والأجور المدفوعة للأشخاص المحصلين على أعلى أجر،مع العلم أن عدد هؤلاء الأشخاص يبلغ خمسة. summary The principle of disclosure and transparency is one of the fundamental principles of corporate governance in view of its transparency and protection for all parties.
