مجلس الإدارة كآلية للحوكمة وأثره على التعثر المالي للشركات: دراسة ميدانية على عينة من الشركات بولاية سطيف

Résumé: تهدف هذه الورقة البحثية إلى الكشف عن أثر مجلس الإدارة كآلية للحوكمة على التعثر المالي للشركات، وذلك من خلال تحليل بيانات (14) شركة مساهمة ناشطة بولاية سطيف لمدة 5 سنوات (70 مشاهدة)، واستخدام نموذج تحليل الانحدار اللوجستي الثنائي المطبق من خلال برنامج (SPSS). خلصت الدراسة إلى وجود أثر سلبي دال لكل من حجم مجلس الإدارة والفصل بين منصبي رئيس مجلس الإدارة والمدير العام على التعثر المالي، فيما لم يظهر أي أثر لاستقلالية المجلس على الظاهرة المدروسة. This paper aims to empirically examine the impact of board of directors as a mechanism of corporate governance on financial distress by using the data of 14 companies operate in Sétif for 5 years (70 observations). Binary logistic regression was applied by using Statistical Packages for Social Sciences (SPSS Version 21). The study revealed that the size of the board and the separation between the chairman of the board and the chief executive officer (CEO) have a significant negative impact on financial distress. Moreover, there was no significant impact of the board independency on the phenomenon studied.
