ضوابط تأسيس و إدارة شركة المساهمة في التشريع الجزائري

Résumé: ملخص الدراسة نستخلص في هذه الدراسة لابراز الاحكام القانونية التي كلفها المشرع الجزائري لتاسيس وتنظيم ادارة شركة المساهمة في التشريع الجزائري حيث اعتمدنا في هذه الدراسة على المنهج الوصفي من اجل اعطاء نظرة عامة حول ماهية شركة المساهمة وتحليل بعض النصوص القانونية التي تحكم نشاطها. وقد توصلنا في هذه الدراسة الى ان المشرع قد اولى اهمية بالغة في هذا النوع من الشركات بوضع نطاق موسع وشامل يحكم اجراءات التاسيس، كما ان المشرع تبنى في تسييره لشركة المساهمة نظامين،حيث تبنى نظام كلاسيكي احادي تمثل في مجلس الادارة ،واخر نظام حديث ثنائي تمثل في مجلس المديرين ومجلس المراقبة. وانه قد تترتب مسؤولية مدنية وجزائية على مؤسسي ومسيري الشركة، اثناء مخالفتهم القواعد الخاصة بالقانون الاساسي لشركة المساهمة. Study summary We conclude in this study to highlight the legal provisions assigned by the Algerian legislator to establish and organize the management of the joint-stock company in Algerian legislation. In this study, we relied on the descriptive approach in order to give a general overview of the nature of the joint-stock company and analyze some of the legal texts that govern its activity. In this study, we have concluded that the legislator has attached great importance to this type of company by setting an expanded and comprehensive scope that governs the establishment procedures. The legislator also adopted two systems in managing the joint-stock company, where it adopted a classical unilateral system represented by the board of directors, and the last modern dual system represented by On the Board of Directors and the Supervisory Board. Civil and criminal liability may result from the founders and directors of the company if they violate the rules of the basic law of the joint-stock company.
