النظام القانوني لتأسيس شركة المساهمة البسيطة - دراسة مقارنة -

Résumé: ملخص: لقد أدرج المشرع الجزائري نوع جديد من الشركات التجارية في القانون التجاري، وذلك بموجب القانون رقم 22-09 المؤرخ في 5 مايو 2022، وسمّاه " بشركة المساهمة البسيطة ". وطبقا لأحكام القانون المذكور، فإنّ هذا النوع من الشركات التجارية مخصص حصريا للمؤسسات الناشئة. ومن ثم، يهدف هذا البحث إلى دراسة النظام القانوني لتأسيس شركة المساهمة البسيطة. وذلك، بتبيان قصد المشرع من إدراج هذا النوع الجديد ضمن الشركات التجارية، ومن خلال إبراز ميزات وخاصيات هذه الشركة، وشروط تأسيسها. وهذا، بإجراء دراسة مقارنة مع التشريع الفرنسي، باعتبار أنّ أحكام القانون الجزائري مستمدة منه. ومن خلال هذه الدراسة، تم التوصل إلى عدة نتائج، أهمها تحديد موقع شركة المساهمة البسيطة في منظومة الشركات التجارية، وما يميزها عن غيرها من الشركات. كما نتج عن هذا البحث، معرفة الفئة المعنية بهذا الشكل الجديد من أشكال الشركات التجارية، وكذلك الشروط المتطلبة قانونا لتأسيسها. Abstract: A new type of commercial companies in the commercial law has been included, according to Law n° 22-09 of May 5, 2022. It is called the "Simple Joint-Stock Company". In accordance with the provisions of the law mentioned before, this type of commercial company is exclusively for start-ups. This research aims to study the legal system for establishing a simple joint stock company, by clarifying the legislator’s intention to include this new type within the commercial companies, by highlighting the features and characteristics of this company, and the conditions for its establishment, through a comparative study with French legislation, given that the provisions of Algerian law are derived from it. Through this study, several results were reached; the most important of which is the identification of the location of the simple joint stock company within the system of commercial companies, what distinguishes it from other companies, and also Knowing the category concerned with this new form of commercial company, as well as the legally required conditions for its establishment.
