خصوصية الإكتتاب وعلاقته بمجلس الإدارة في شركة المساهمة في التشريع الجزائري

Résumé: تناول هذه الدراسات تحليل الآليات القانونية لشركة المساهمة في الجزائر لأهميتها في النهوض بالاقتصاد الوطني وتطوره في ضوء المرسوم التشريعي 93/08 المؤرخ في 25 أفريل 1993 وارتكزت الدراسة على البحث على أنجع الأطر التنظيمية الخاصة بهذه الشركة لتجنب مخاطرها وتثمين ما هو إيجابي. وقد نظمتها كل التشريعات لأهميتها في توظيف رؤوس الأموال الضخمة وتنويع الاستثمار سواء على المستوى الداخلي للدولة أو خارجها وكان تدخل المشرع الجزائري في تنظيمها واضحا من بداية تكوينها إلى انقضائها كغيرها من الشركات الأخرى رغم وجود بعض الثغرات التي تحيط بالنظام القانوني الخاص بها والذي لا علاقة له بأرضية الاستثمار والواقع الاقتصادي الذي تعيشه الجزائر . Abstract: These studies dealt with the analysis of the legal mechanisms of the joint-stock company in Algeria for its importance in the advancement and development of the national economy in the light of Legislative Decree 08/93 of April 25, 1993. The study was based on research on the most effective organizational frameworks for this company to avoid its risks and evaluate what is positive. It was regulated by all legislation due to its importance in employing huge capitals and diversifying investment, whether at the internal level of the state or outside it. The intervention of the Algerian legislator in its regulation was clear from the beginning of its formation to its expiry like other companies, despite the presence of some loopholes surrounding its legal system, which has nothing to do with the investment grounds and the economic reality in Algeria.
