Résumé: تعتبر إشكالية تحديد زمان و مكان انعقاد العقد الإلكتروني من المسائل المهمة في ظل الانتشار المتزايد للمعاملات الالكترونية، حيث تثير مسألة تحديد زمان و مكان انعقاد العقد إشكالات أكثر تعقيدا من تلك التي ثارت في النظرية العامة للعقود التقليدية، فتحديد لحظة انعقاد العقد الإلكتروني يكون صعبا في حالة وجود فجوة زمنية تفصل بين التعبير عن القبول و العلم به من الموجب، أما بالنسبة لمكان انعقاد العقد فالمتعاقدان موجودان في مواقع جغرافية مختلفة كما أن استخدام الوسائط الإلكترونية هو متاح للأشخاص في أي مكان في العالم هو ما يثير إشكالية تحديد مكان انعقاد العقد بدقة، وقد اختلفت النظريات و التشريعات في وضع معيار موحد لتحديد زمان و مكان انعقاد العقد.
