دور آليات الرقابة و لجان المراجعة ذات البعد الأخلاقي في زيادة فعالية الحوكمة بإدارة منظمات الأعمال

Résumé: يهدف هذا العمل لإبراز أن مفهوم الحوكمة في المؤسسات المختلفة يتطلب توفر عدة شروط، أهمها التمتع بثقافة إدارية تسمح بإدراك و فهم مسؤوليات الأطراف المعنية من جهة ، و القدرة على بلوغ الأهداف المخطط لها من جهة أخرى ، و هذا الأمر لا يمكن أن يتحقق، إلا إذا تميزت مختلف قوى الموارد البشرية ،بالجوانب الأخلاقية اللازمة لذلك ، خاصة حين يتعلق الأمر بعمليات الرقابة و المراجعة الداخلية و الخارجية الخاصة بهذا المفهوم. إذن ما العلاقة بين حوكمة المؤسسات و أخلاقيات لجان الرقابة ؟ و ذلك من خلال دراسة الإطار العام لحوكمة المؤسسات،البعد المالي و المحاسبي لحوكمة المؤسسات و علاقته بأخلاقيات مواردها البشرية،آليات الرقابة و دور لجان المراجعة في الحوكمة. This work aims to highlight that the application of the concept of corporate governance in different institutions requires several conditions, the most important ones to take advantage of a management culture that allows to realize and understand the responsibilities of the parties concerned, on the one hand, and the ability to achieve the objectives set, on the other. This can not be achieved unless it is marked by various human resources forces, the ethical aspects needed, especially when it comes to to control operations and internal and external auditing for this concept. So what is the relationship between corporate governance and ethics review committees? And through the study of the general corporate governance framework, the accounting and financial dimension of corporate governance and its relationship with human resources ethics, oversight and the role of audit committees in corporate governance mechanisms
