دور مجلس الإدارة في تعزيز حوكمة شركات المساهمة

Résumé: تعد حوكمة الشركات المساهمة من الموضوعات المهمة في عصرنا الحاضر، وتركز أنظمة وقوانين الحوكمة في العالم على الحد من استخدام السلطة الإدارية في غير مصالح المساهمين، وتعمل على تفعيل آداء مجلس الإدارة وتعزيز الرقابة الداخلية، ومتابعة تنفيذ الاستراتيجيات وتحديد الأدوار والصلاحيات لكل من المساهمين ومجلس الإدارة وأصحاب المصالح، وتهدف هذه الدراسة إلى إلقاء الضوء على نظام حوكمة الشركات خاصة شركات المساهمة ودور مجلس الإدارة في تعزيز هذا النظام لتحقيق الأداء المالي للشركة. The governance of Joint-Stock Companies is one of the important topics in our time, and the governance systems and laws in the world focus on reducing the use of administrative authority in other than the interests of shareholders and works to activate the performance of the board of directors and strengthen internal control, follow-up the implementation of strategies and determine the roles and powers of both shareholders, the board of directors and stakeholders, and this study aims to shed light on the governance system of Joint-Stock Companies and the rele of board of directors in enhancing this system to achieve the financial performance of the company.
