أثر الإجتهاد القضائي الفرنسي على تطور الأحكام الناظمة لمجموعة الشركات في مجال التعسف في استعمال أموال الشركة والمسؤولية البيئية

Résumé: يعد تجمع الشركات هيكل ذو طبيعة خاصة، إذ يجمع بين عدة شركات مستقلة من الناحية القانونية، تتمتع كل واحدة منها بالشخصية المعنوية بكل ما يترتب عنها من آثار قانونية، غير أنها من الناحية العملية تابعة للشركة الأم التي تترأس التجمع نتيجة امتلاكها جزء من رأسمال الشركات التابعة أو حقوق التصويت فيها. مما يخول لها السيطرة عليها والتأثير على سيرها وتوجيهها وفق استراتيجية موحدة تضعها الشركة الأم. وإبان الفراغ التشريعي الذي يكتسح النصوص القانونية المنظمة لتجمع الشركات، لقد تصدى القضاء الفرنسي لأهم الإشكالات التي يثيرها، مما أدى إلى اقتداء المشرعين بها. The grouping of companies is a structure of a special nature, as it brings together several legally independent companies, each of which enjoys the legal personality with all the legal implications, but in practice it is affiliated with the parent company that heads the pool as a result of its owning part of the capital of the subsidiary companies Or voting rights in it. This enables it to control and influence its course and direct it according to a unified strategy set by the parent company. And during the legislative vacuum that sweeps the legal texts regulating the association of companies, the French judiciary has addressed the most important problems that it raises, which led to the example of legislators.
