Résumé: إنّ شركات المساهمة التي تتبنى التأسيس المفتوح، تلجأ في جمع رأس مالها إلى تحصيله عن طريق طرح الأسهم على الجمهور ليقوم بشرائها، وكون هذا النوع من الشركات يقوم على الإعتبار المالي، وتنشأ عنه شخصية معنوية، فإنّ تقديم الحصص الممثلة بأسهم نقدية وعينية والوفاء بها، وكذا انعقاد الجمعية العمومية التأسيسية وما يصاحبها من تقدير للحصص العينية، وتعيين لممثلي ادارة هذا الكيان القانوني، تُعد محورا رئيسيا ينبني عليه نجاح مشروع الشركة، فإذا ما تمّ الوفاء بأسهم الشركة، وايداعها قانونا، فضلا عن تعيين القائمين بإدارتها، كان للشركة أن تبدأ نشاطها، وتمارس أعمالها تماشيا وأهليتها في ذلك.
