حق الشركاء في اختيار شكل الشركة

Résumé: تبحث هذه الدراسة الموسومة بحق الشركاء في اختيار شكل الشركة، في الحرية الممنوحة للشركاء لاختيار شكل الشركة سواء عند تأسيسها، أو أثناء حياتها، لحدوث متغيرات استوجبت تغيير هذا الشكل، مع بيان القيود الواردة على هذه العملية والتي تتصل بفرض شكل معين أو تقتضي إحترام إجراءات معينة عند تحويل شكل الشركة. ويحتل شكل الشركة أهمية معتبرة باعتباره المحدد للنظام القانوني للشركة، ولهذا يجب اختياره بعناية من طرف مؤسسي الشركة عندما يسمح المشرع بذلك، وبشكل يتوافق ومقتضياتها. This study, titled "The Partners' Right to Choose the Company's Form", explores the freedom granted to partners in selecting the company's form, whether at its establishment or during its lifetime, due to changes that require modifying this form. It also addresses the restrictions imposed on this process. The form of the company holds significant importance as it determines the legal system governing the company. Therefore, it must be carefully chosen by the company's founders when permitted by the legislator, in a manner that aligns with the company's needs.
