اندماج الشركات وأثره على الغير في قانون الشركات الأردني- دراسة مقارنة-

Résumé: الملخص يعد الاندماج التجاري بين الشركات ظاهرة في الحياة الاقتصادية والتجارية المعاصرة، فهو يشكل مظهرا من مظاهر التركيز الاقتصادي التي أَمْلَتْهُ علينا العولمة والتحرر الاقتصادي والتجاري العالميين فهو يعد أحد تكوين المشروعات الاقتصادية والتجارية الكبرى، لذا فهو محلُ للاهتمام الاقتصادي والفقهي والقانوني وتتمتع ظاهرة الاندماج بأهمية قانونية كبيرة لما لها من أبعاد قانونية متشعبة عن حقوق ومصالح الكثير من الأشخاص وتُرتِّبُ التزامات عديدة في ذممهم، كما له الأثر البالغ على المساهمين والدائنين والغير ونقتصر بحثنا على اثر الاندماج على الغير وسيكون ذلك على مبحثين: الأول جاء بعنوان تعريف الاندماج وصوره وطبيعته القانونية والثاني جاء باثر الاندماج على الغير وهم دائنو ومدينو كل من الشركة الدامجة والمدمجة وأثره على أصحاب حصص التأسيس وحملة أسناد القرض. APSTRACT The companies merger is considered apenomnon in the economic and commercial modern life which is considered as an aspect of the economic stabilization which is enforced through the globali zation and both the commercial and economical world freedom wihich is considered or stand as one of the constitations of the huge economical and commercial lproject gives it a lot of importance and interest juridicallg and economical. In the research I mainly focused on the companies merged effect on the others which will be discussed in 2 parts the first comes under the tittle of introducing the meaning of merging its juridical nature while the second focuses on the effect of merging o on the others sach as the creditors the companies it self the shareholders and the lenders as well.
