واقع الجمعيات العامة للمساهمين في تسيير شركات المساهمة

Résumé: تمثل الجمعية العامة السلطة العليا في شركة المساهمة وتتمتع تبعا لذلك بصلاحيات واسعة في إصدار القرارات المتعلقة بشؤونها باعتبارها ممثلة لمصالح الشركة ومصالح المساهمين . لكن الواقع العملي كشف عن عدم حضور المساهمين اجتماعات الجمعية العامة بالرغم من التسهيلات التي منحها المشرع الجزائري للمساهم، الأمر الذي أدى إلى تغليب ظاهرة غياب المساهمين عن الحضور وأدى في النهاية إلى ضعف الدور التي تلعبه الجمعية أمام مجلس الإدارة الذي أصبح يمثل الإدارة الفعلية وكذا المساس بمصالح أقلية المساهمين. In issuing decissins related its affairs,as arepresntative of the company's interests and the interests of the sharehlders but the practical reality releaved that the shareholders did not attend the general assembly meetings.despite the facilities granted by the Algerian legislator to the ahareholdest,for the matter thatled to prevalence of the phenmenon of the absence of shareholders ' absence from attendance wich valley at the end to double the role that played in front of the bored of directors which has become the actual management as well as prejudice to the intersts of the minority shreholders.
