النظام القانوني لرئيس مجلس إدارة شركة المساهمة

Résumé: يطرح المركز القانوني لرئيس مجلس الإدارة كجهاز تسيير في شركة المساهمة ذات النظام التقليدي عدة تساؤلات تتعلق بعلاقته مع المجلس، ومدى التوازن بين الصلاحيات الواسعة المخولة له قانونا داخل الشركة وصلاحيات مجلس الإدارة، بالإضافة إلى الشروط الخاصة بتعيينه. وفي هذا السياق جاء هذا المقال للبحث في النظام القانوني لرئيس مجلس الإدارة على ضوء أحكام القانون التجاري للوقوف على مواطن الخلل في هذا الجهاز والإجابة على بعض التساؤلات التي تدور في ذهن الباحث، في ظل تنامي الانتقادات الموجهة للمسيرين،ومطالبة معظم الدراسات القانونية والاقتصادية بتعديل المنظومة القانونية والتشريعية الخاصة بتسيير شركات المساهمة، كونها لم تعد تتماشى مع ما تقتضيه القوانين الحديثة الناظمة لها. Abstract The present study aims to shed light on the legal position of the chairman of the board of directors as a management entity in a joint-stock company that follows a traditional system, thus, this article revolves around the chairman's relationship with the company's board, the extent of the balance between the broad powers granted by law within the company and the powers of the board of directors, alongside the conditions for the appointment. In this regard, this article aims to link the aforementioned with the provisions of the commercial law, in an attempt to highlight the shortcomings, in light of the growing criticism directed at the managers, and the demand of the majority of the legal and economic studies to amend the legal system along the legislation in relation to the management of joint stock companies, since they are no longer considered in line with the requirements of the modern laws.
