Résumé: Abstract : Liquidation is compulsorily step at the expiration of a joint stock company contract, it is made by one or more liquidators, appointed by the associates or based on a judicial decision. He undertakes all the work required by the liquidation within the limits of his powers, However, the powers of the liquidator are not absolute, but are subject to control by associates and board of control. If the liquidator breaches his obligations during the liquidation process, the scope of responsibility is determined accordingly, and the general rules of civil liability, in both its contractual and tort parts
