Résumé: ملخص : تعد الحوكمة واحدة من أهم القضايا على مستوى المؤسسات الإقليمية والمنظمات الدولية ، لذلك أصبح من الضروري التعاطي بجدية ووعي مع مفهوم الحوكمة وخلق الإطار المناسب لوضعها موضع التنفيذ، وتهدف الدراسة الحالية من خلال ان تهاج منهج وصفي تحليلي إلى محاولة إبراز دور حوكمة الشركات و مساهمتها في تحسين أداء المؤسسات الجزائرية بمختلف مجالاته من خلال دراسة حالة مؤسسة الإسمنت بسعيدة ، وخلصت الدراسة إلى أن هناك ارتباط وثيق مابين كل من حوكمة الشركات و تحسين الأداء الكلي للمؤسسة. Abstract : The governance is one of the most important issues at the level of regional institutions and international organizations, so it has become necessary to deal seriously and awareness with the concept of corporate governance and create the appropriate framework to put it into practice. This current study aims to show the role of governance and its contribution in improving all Areas of performance of the Algerian firms through the case of Cement Corporation in Saida by using a Descriptive analytical method. The study concluded that there is correlation between corporate governance and the overall performance of the company
