Résumé: ملخص: تتفاوت حدود مسؤولية الشخص الوحيد في المؤسسة ذات الشخص الوحيد وذات المسؤولية المحدودة تبعا لطبيعة مساهمته في رأس مال المؤسسة (حصة نقدية، حصة عينية) وكذا الدور المنوط له في المؤسسة (مؤسس، مسير، ممثلا للجمعية العامة)، وتبعا لطبيعة مسؤوليته (المسؤولية المدنية، المسؤولية الجزائية)، يبقى استيفاء حقوق الغير المتعامل مع هذه المؤسسة رهينا بالضمانات المقررة ضمن أحكام القانون التجاري والتي تستدعي بالمشرع الجزائري مراجعتها وتكريس ضمانات أكثر تفاديا لتأسيس مؤسسات فردية وهمية. Abstract: The limits of the sole person's responsibility in the single-person and limited liability institution vary depending on the nature of his contribution to the foundation's capital ( cash share, in-kind share) as well as his role in the institution ( founder, facilitator, representative of the General Assembly) and, depending on the nature of his responsibility ( civil liability, criminal liability) the fulfilment of the rights of the non-client of this institution remains subject to the guarantees established within the provisions of the commercial law, which require the Algerian legislator to review and devote more safeguards to avoid the establishment of fictitious individual institutions.
