المتطلبات القانونية لتحويل شركة المساهمة في التشريع الجزائري

Résumé: يعتبر شكل شركة المساهمة الشكل الأمثل في هرم الشركات إذ بمقتضاه يمكن تحقيق المشروعات الكبرى والاستثمار فيها، لهذا فإن تحويلها إلى شكل آخر هو أمر لا يتوافق مع الصواب. لكن قد تعاني هذه الشركة من بعض الصعوبات تعترض نشاطها وتحد من نموها كانخفاض رأسمالها إلى حد يؤدي إلى انقضائها، لذا فإن تحويلها إلى شكل آخر من أشكال الشركات يعد أحد الخيارات التي يمكن اللجوء إليها للحفاظ على الشركة وتجنب حلها. وهذا التحول إذا ما تم فإنه سيترك آثار قانونية مهمة على شركة المساهمة المحولة من جهة وعلى المساهمين والغير المتعامل معها من جهة أخرى. تقدم هذه الدراسة تحليلا لعملية تحويل شركة المساهمة في التشريع الجزائري قصد إبراز مدى كفاية الأحكام التي جاء بها المشرع عند تنظيمه لهذه العملية. ولقد خلصنا في الختام إلى أن المشرع الجزائري لم يتناول فكرة التحويل بنظرة واضحة، بل فاته تنظيم الكثير من الأوضاع التي تنشأ عن هذه العملية، ونظرا لأهمية هذه الآلية خصوصا لشركات المتعثرة نرى وجوب أن يوليها المشرع أهمية خاصة وذلك حفاظا على وجود الشركة وحماية لجميع المصالح. The form of the limited company is the ideal form of all. It helps achieve the biggest projects and make great investments. Transforming this company is therefore completely wrong. But it can face some difficulties that encounter its business and limit its development such as the decrease of its capital that lead to its dissolution. The transformation of form into another form of company seems to be the last choice that might be opted for in order to preserve it and avoid its dissolution. In the event this company is changed, it will result in significant legal impacts upon the transformed limited company on one hand and upon associates and third party on the other. This paper offers an analysis of the effects arising from the transformation of the limited company in the Algerian legislation in order to highlight the impacts of this operation upon the transformed company, the associates as well the third party. It will also show how sufficient are the provisions of the Algerian legislator to safeguard various rank positions
