الآثار القانونية المترتبة عن تجاوزات المصفي في التشريع الجزائري

Résumé: يترتب عن انقضاء الشركة التجارية أو الشركات الأعضاء المنتمية للتجمع بحكم أن هذا الأخير لا يتمتع بالشخصية المعنوية بكل ما يترتب عنها من آثار قانونية، لأي سبب من الأسباب و دخولها دور التصفية انتهاء سلطات مديرها و يحل محلهم شخص يدعى المصفي، توكل اليه مهمة اجراء العمليات اللازمة لتصفية موجوداتها و قسمة المتبقي من أموالها على الشركاء، و يعد صاحب الصفة الوحيدة في تمثيلها اذ يعتبر الممثل القانوني للشركة المنحلة. حيث منحه المشرع سلطات واسعة تشمل حتى أعمال الادارة، و في مقابل ذلك يكون عرضة للمساءلة سواء المدنية أو الجنائية في حالة تجاوزه لصلاحياته أو تقاعسه عن واجباته، أو ارتكابه أفعالا مجرمة قانونا. The consequence of dissolution of the commercial company or the momber companies affiliated with the assembly,because the latter does not have a legal personality with all the legal implications it entails, for any reason and its entry into the liquidation stage, the end of the powers of its directors, so a person called the Liquidator takes their place, he will be entrusted with the task of conducting the necessary operations to liquidate its assets and divide the remainder of its funds among the partners, that he has been considered the only person who represents it as he is the Legal Representative of the dissolution company.Which the legislator granted him wide powers that include even the work of the administration on the other hand, he arranged his responsibility whether civil or criminal, in case he exceeded his powers, failed to perform his duties, or committed legally criminal acts, with the aim of ensuring the functioning of the liquidation process, with transparency and clarity.
