البعد القانوني للحوكمة الخارجية على ادارة الشركة المساهمة العامة - دراسة مقارنه-

Résumé: الملخص تعتبر حوكمة الشركات، طريقة ذات جانب أكثر فعالية لتحقيق ضمان سير الجانب المالي والإداري في الشركات المساهمة العامة وفقاً للضوابط القانونية والمالية والادارية ،حيث تهدف هذه الدراسة إلى إبراز أهمية دور الجهات ذات السلطة في ممارسة الرقابة وتطبيق آلية الحوكمة على إدارة الشركة المساهمة العامة ، من خلال الجهات ذات العلاقة في الدولة، ودور الساهمين والدائنين وايضاً دور المدقق الخارجي المحوري في عملية الرقابة ، وقد توصلنا في هذه الدراسة الى اعتبار ان حوكمة الشركات المخرج الوحيد وأقوى الحلول فعالية للخروج بضمان حقوق المساهمين والمستثمرين والغير من أصحاب الحقوق والدائنين. الكلمات الافتتاحية: الشركات ، الحوكمة ، الرقابة ، المساهمين ، الدائنين. Abstract Corporate governance is a more effective way to ensure that the financial and administrative aspects of public shareholding companies operate in accordance with legal, financial and administrative controls. The relevant authorities in the state, the role of shareholders and creditors, as well as the pivotal role of the external auditor in the control process. In this study, we concluded that corporate governance is the only way out and the most powerful and effective solutions to come out with a guarantee of the rights of shareholders, investors, third parties, rights holders and creditors. key words: companies, governance, control, shareholders, creditors
