جنحة الاستعمال التعسفي لأموال الشركة التجارية

Résumé: تتمحور هذه الدّراسة بمعالجة موضوع جُنحة الاستعمال التّعسفي لأموال الشّركة، وذلك دراسة قانونية حيث تبرز هذه الدّراسة الأركان التّي تقوم عليها هذه الجريمة وكيفية متابعة الجاني قضائيًا سواء من النّاحية المدنية أو الجنائية، وبالرجوع إلى القانون التّجاري وقانون العقوبات نجِد أنّ المُشرع الجزائري حصر هذه الجريمة في شركة المُساهمة والشّركة ذات المسؤولية المحدودة، وهذه الجريمة يرتكبها المُسير أو المدير حسب الحالة، أثناء ممارستهِ لأعمال تسيير الشّركة حيث يقوم باستعمال أموال الشّركة أو أصواتها أو السلطات الممنوحة لهُ، لغير صالح الشّركة وذلك بناءً على سوء نية، ولتحقيق مصلحته الشخصية أو لتفضيل مصلحة شركة أو مؤسسة أخرى مما يعرضه للمتابعة الجزائية كدعوى تبعية في حالة تحقُق شروطها في حالة حُدوث ضرر للشركة أو المسيرين بصفة فردية أو جماعية ناتج عن هذه الأفعال المُجَرَمَة. This study focuses on addressing the issue of the misdemeanor of abusive use of company funds, as a legal study, Referring to the Commercial Code and the Penal Code, we find that the Algerian legislator limited this crime to the joint-stock company and the limited liability company, and this crime is committed by the manager, manager or head of the company, as the case may beWhile practicing the company’s running business, where he uses the company’s money, votes, or powers granted to him, to the detriment of the company, based on bad faith and to achieve his personal interest, or in preference to the interest of another company or institution, which exposes him to criminal prosecution as a subsidiary lawsuit in the event that its conditions are fulfilled in the event of damage to the company Or the facilitators individually or collectively as a result of these criminal acts.
