مقومات المسؤولية المدنية لمسيري شركات المساهمة في التشريع الجزائري

Résumé: موضوع هذه الدراسة هو مقومات المسؤولية المدنية لمسيري شركات المساهمة في التشريع الجزائري؛ حيث تتجلى من خلال تبيان محددات قيام المسؤولية المدنية لمسيري هذه الشركة، عند حياد المسير عن الصلاحيات المخولة له بموجب القانون، ونظرا لعد وجود نظام خاص بالمسؤولية المدنية لمسير شركة المساهمة ضمن أحكام القانون التجاري تم تطبيق أحكام القانون المدني، حيث حددت أحكامه المقصود بالمسؤولية المدنية وأركان قيامها هذا من ناحية، ومن ناحية أخرى تبيان نطاق هذه المسؤولية ذات الطابع الشخصي للمسير، أو التضامني المترتب في ذمة مجموعة من المسيرين في مواجهة كل من الشركة أو المساهمين فيها أو الغير المتعامل معها. The subject of this study is the elements of civil responsibility of the directors of joint stock companies in Algerian legislation, as it is manifested through the indications of the civil liability of the company's administrators, when the march is neutral from the powers vested in it by law, and in view of the fact that there is a system of civil liability for the course of the joint stock company within the provisions of the commercial law, the provisions of the civil law have been applied, On the one hand, it sets out the scope of this responsibility of a personal nature of the march, or the solidarity of a group of marchers in the face of both the company, its shareholders or its non-clients.
