Résumé: أتاح المشرع الجزائري لشركة المساهمة التي تكون في حاجة إلى التمويل إمكانية عقد قرض سندي مع المُدخرين أصحاب الفائض المالي ليدخلوا في علاقة تعاقدية معها نظير مُساهماتهم؛ ولأن الشركة تُقسّم قيمة قرضها الإجمالي إلى عدد مُحدّد من السندات يتجاوز العشرات أو المئات في غالب الأحيان؛ فإنه يصعب تواصلهم مع الشركة المُصدرة والجهات الأخرى التي تتقاطع معها مصالحهم، مما يُحتّم ضرورة تسمية شخص أو أكثر على رأس جماعة حملة سندات الاستحقاق القابلة للتحويل إلى أسهم، يتولى شؤونهم ويوصل انشغالاتهم وآرائهم إلى الشركة، هذا الدور البارز الذي يتولى مُمثل الجماعة القيام به يقتضي ضرورة التوسّع فيه عن طريق بيان الكيفيات التي يُعيّن ويُعزل بها وكذا البحث في الصلاحيات الممنوحة له والأجر الذي يتقاضاه لِقاء نشاطه.
