تكريس مبدأ سلطان الإرادة في تسوية منازعات عقود الاستثمار

Résumé: الملخص: من المسلم به أن العقود سواء كانت مدنية أو تجارية يحكمها مبدأ سلطان الإرادة، كما يعود للمحاكم الوطنية الاختصاص بالنظر في النزاعات الناشئة عنها. غير أن عقود الاستثمار بالنظر لما تقوم به على صعيد التنمية الاقتصادية والاجتماعية والمساهمة في تطوير الاقتصاد الوطني، وبالنظر إلى أن أحد أطرافها قد يكون الدولة، مما يجعلها لا تتمتع بالسيادة ذاتها عند التعاقد، خاصة إذا كان الطرف الثاني أجنبي. فإنه لا يوجد ما يمنع من خضوع الشروط التعاقدية في عقود الاستثمار لمبدأ سلطان الإرادة، إذ يترك للأطراف حرية فرض ما تراه من شروط، خاصة ما تعلق بتحديد تحديد وسائل تسوية المنازعات التي تثور بين أطرافها. Abstract: It is recognized that contracts civil or commercial, are governed by the principle of the authority of will, and national courts have jurisdiction over disputes. Investment contracts because of their usefulness of economic and social development of the national economy, and given that one of its parties may be the state, which makes it not the same sovereignty,if the second party is a foreigner. There is nothing to prevent the contractual conditions in investment contracts to the principle of the authority of will, as it leaves the parties free to impose conditions, especially those related to settling disputes.
