Résumé: ملخص: في إطار السعي لإيجاد بيئة داعمة للمشاريع الاستثمارية لا سيما المؤسسات الناشئة والمؤسسات الصغيرة والمتوسطة؛ تبنى المشرّع الجزائري أسلوبا تمويليا جديدا هو التمويل بالرأسمال الاستثماري، والذي تمارسه عمليا شركات تدعى شركات الرأسمال الاستثماري. وبالرغم من إقرار المشرع الجزائري أن شركة الرأسمال الاستثماري هي شركة مساهمة وجوبا من حيث شكلها القانوني، إلا أنه أفرد لها - ولاعتبارات معينة – أحكاما خاصة غير تلك المعهودة في شركة المساهمة. وفيما يلي تبيان لمظاهر خروج المشرع الجزائري عن القواعد العامة لشركة المساهمة في تأسيس شركة الرأسمال الاستثماري. Abstract: In the context of seeking to create a supportive environment for investment projects, especially emerging enterprises and small and medium enterprises; The Algerian legislator has adopted a new financing method, which is investment capital financing, which is practically practiced by companies called venture capital companies. Although the Algerian legislator acknowledged that the investment capital company is a joint-stock company in terms of its legal form, it singled out for it - and for certain considerations - special provisions other than those usual for the joint-stock company. The following is an indication of the manifestations of the Algerian legislator's departure from the general rules of the shareholding company in the establishment of the investment capital company
