القواعد القانونيّة الخاصّة بتحوّل شركة التضامن -دراسة مقارنة

Résumé: تناولت هذه الدراسة القواعد القانونية لتحوّل شركة التضامن في كلّ من القانون اليمني والقانون الأردني والقانون المصري، وقد هدفت إلى بيان أحكام تحول شركة التضامن منذ أن كان مجرّد فكرة تدور في خلد القائمين على إدارة الشركة الراغبة في التحوّل حتى يخرج إلى حيز الوجود، وقد تمّ التعرّض في هذه الدراسة إلى مقارنة أحكام تحوّل شركة التضامن في القانون اليمني مع القوانين المتعلقة بتحوّل شركة التضامن في القانون الأردني والقانون المصري. ومن خلال البحث في أحكام تحوّل شركة التضامن، توخيت الإحاطة بمعظم الجوانب القانونية التي تتعلّق بتلك الأحكام ومن تلك الجوانب بيان أهم القواعد التي يجب مراعاتها عند تحوّل شركة التضامن، وكذلك بيّنت هذه الدراسة الشروط والإجراءات التي تتطلّب القوانين محلّ الدراسة إتباعها لإتمام عملية التحوّل، بالإضافة إلى الجزاء المترتب على مخالفة هذه الإجراءات. كما خلصت هذه الدراسة إلى العديد من النتائج والتوصيات. Abstract: This study of the legal rules relating to the transformation of general partnership in the Jordanian, Egyptian and Yemeni laws, is aimed at demonstrating the law of a general partnership, since it was just a mere idea to those who were managing the corporation which desired the transformation until it became a reality. Through researching the legal rules to the transformation of general partnership, being cautious to cover most of the legal aspects related to those legislations and from those aspects covering the most important rules that need to be followed when transferring a corporation, this study also shows the conditions and procedures demanded by the laws that are necessary for the transformation. The consequences related to the breaking of these procedures are explored and explained. Finally, this study poses many ideas and hypotheses that can explain the transformation of the corporation.
