حالات التنافي القانونية المتعلقة بمحافظ الحسابات في شركة المساهمة

Résumé: ملخص : تعد شركة المساهمة النموذج الأمثل لشركات الأموال، ونظرا للأهمية التي تكتسيها هاته الأخيرة، فقد نص القانون على حالات تنافي منع من خلالها محافظ الحسابات الجمع بين وظيفته كمحافظ حسابات في شركة المساهمة وحالة من حالات التنافي، وذلك بسبب النتائج السلبية التي تقع في حالة تعيين محافظ حسابات بالرغم من تواجد حالة تنافي قانونية، لأن هذا الأخير لا يمكنه القيام بمهامه في الرقابة بجد وموضوعية إلا إذا كان يتمتع باستقلالية تامة عن باقي هيئات الشركة. ومن ثم نستنج بأن محافظ الحسابات ونظرا للدور الحساس الذي يقوم به في شركة المساهمة، فقد شدد القانون من حالات التنافي القانونية بنوعيها العامة أو الخاصة حفاظا على مبدأ الإستقلالية، والتي يلزم على هذا الأخير احترامها تحت طائلة جزاءات يقرها القانون في حالة وقوع محافظ الحسابات فيها، وذلك حفاظا على مصلحة المساهمين والشركة بصفة خاصة وعلى الصالح العام بصفة عامة.
