المسؤولية المدنية للمسيرين في حالة اندماج الشركات التجارية

Résumé: تهدف هذه الورقة البحثية إلى دراسة المسؤولية المدنية للمسيرين في حالة اندماج الشركات التجارية. حيث توصلت الدراسة إلى أنها مسؤولية موضوعية يكفي لقيامها ثبوت الضرر، ويستطيع كل متضرر من قرار الاندماج تحريك دعوى المسؤولية على أساس أن الضرر الذي يصيب الشركة ذاتها كشخص اعتباري يفتح الطريق لمباشرة دعوى الشركة، أما الضرر الذي يلحق بأحد الشركاء أو المساهمين أو الغير فيجيز للمضرور إقامة دعوى فردية. Abstract This research paper aims to examine the civil liability of the managers in the event of the merger of commercial companies. The study found that it was an objective responsibility sufficient to establish the damage so that any person affected by the merger decision could initiate a claim of liability on the grounds that the damage to the company itself as a legal person opened the way for the commencement of the company’s claim, while the damage to a partner, shareholder or third party allowed the injured to file an individual action.
