شرط القصر قيد على حرية التفاوض في عقد الفرانشيز

Résumé: ملخص: تعتبر المفاوضات مرحلة جوهرية في عقد الفرانشيز ذلك راجع لخصوصية محله والدور الكبير الذي يلعبه في المجال الاقتصادي، ما نتج عنه اختلال التوازن الاقتصادي بين أطرافه وتضارب المصالح بينهم وسعي كل واحد منهم للحصول على أفضل عرض. وعلى هذا الأساس تسعى الأطراف المتفاوضة في عقد الفرانشيز إلى وضع إطار ينظم العملية التفاوضية من خلال إقرار بعض الشروط الاستثنائية كشرط قصر التفاوض القائم على حظر إجراء مفاوضات موازية مع طرف ثالث بشأن نفس الموضوع وفي نفس الوقت، ما يعد خروجا عن القاعدة العامة التي تقضي بحرية التفاوض . Abstract: Negotiations are considered an essential stage in the franchise contract due to the privacy of its breach and the great role it plays in the economic field, which resulted in an economic imbalance between its parties, conflict of interests between them, and each one of them striving to obtain the best deal. The negotiating parties seek to establish a framework that regulates the negotiating process, and this is by approving a condition known as exclusion clause which prohibits parallel negotiations with a third party on the same subject at the same time, which is considered a departure and an exception to the rule general requirements for freedom of negotiation.
