الإجراءات القانونية لتصفية الشركات التجارية دراسة مقارنة

Résumé: يهدف هذا البحث إلى بيان الإجراءات القانونية لتصفية الشركات التجارية في ضوء قانون الشركات اليمني رقم: 22 لسنة 1997م وتعديلاته، والفقه الاسلامي. وتأتي أهمية هذه الدراسة في هذا الوقت، نظرا لما نشهده من تزايد حالات التصفية في ظل الأزمة المالية العالمية، ولتحقيق الغاية من هذه الدراسة قام الباحث بدراسة ما كتب حول هذا الموضوع وتحليله واستخلاص المفاهيم والمبادئ الأساسية ذات العلاقة بالدراسة ومناقشة الآراء الفقهية وتحليل النصوص القانونية . ولتحقيق هدف هذه الدراسة، فقد توخيت الإحاطة بمعظم الجوانب القانونية التي تتعلق بتلك الإجراءات، وقد تمت معالجة هذه الدراسة من خلال بيان سلطات المصفي في المبحث الأول، وبيان واجبات المصفي في المبحث الثاني، كما خلصت هذه الدراسة إلى العديد من النتائج والتوصيات. This paper aims to point out the legal procedures for company winding-up in the light of Yemeni company law 22/1997 and its amendments and the Islamic Fiqh (the Islamic jurisprudence) This paper gets a great importance in the current time for the increasing number of company winding-up given rise from the word financial crisis. To reach the ends aimed from this study, the researcher has analyzed what was written in the topic to come to the basic concepts in connection with this study and debated Fiqh (Islamic Jurisprudence) views and legal texts. In order to carry out this purpose, I aimed at touching on most of the law sides regarding these measures by clearing up in the first part the privileges of the liquidator, then highlighting his duties in the second part and finally bringing to many conclusions and recommendations.
