رقابة التجميعات الاقتصادية كآلية قانونية لوقاية النظام العام التنافسي

Résumé: الملخص: تشكل التجميعات الاقتصادية أحد الوسائل التي تلجأ إليها المؤسسات لزيادة قوتها الاقتصادية وتحسين تنافسيتها، غير أنها قد تمثل في نفس الوقت خطرا محتملا على المنافسة الحرة في السوق، بفعل إمكانية تحفيزها للممارسات المقيدة للمنافسة، أخصها الاستغلال التعسفي لوضعيات الهيمنة، لذلك أخضعها المشرع لرقابة قبلية يمارسها مجلس المنافسة تستهدف وقاية النظام العام التنافسي من الإضرار به. تهدف الدراسة إلى الوقوف، من خلال مقاربة قانونية، على مدى كفاية التنظيم القانوني لهذه الرقابة في تحقيق هدفها في وقاية النظام العام التنافسي من المساس به. لتحقيق هذا الهدف، تم هيكلة البحث في محورين، يتناول أولهما شروط قابلية التجميعات الاقتصادية للرقابة، في حين يتطرق الثاني إلى مراحل هذه الرقابة. Abstract: Economic concentrations are one of the means that companies use to increase their economic strength and improve their competitiveness, but at the same time they can represent a potential threat to free competition in the market, because of the possibility of stimulating anti-competitive practices, in particular the abuse of dominant positions, therefore the legislator subjects them to a priori control exercised by the Competition Council and aims to prevent competitive public order. The study aims to determine, according to a legal approach, the sufficiency of the legal regulation of this control to achieve its objective in the prevention of competitive public order. To achieve this objective, the research has been structured in two axes: the first deals with the conditions of the controllability of economic concentrations, while the second deals with the phases of this control.
