Résumé: تعد شركة المحاصة عبارة عن تعاون تجاري يحكمه وينظمه اتفاق الأطراف والقواعد القانونية الخاصة به، تخضع في نشأتها لنفس الشروط والأركان التي تخضع لها أي شركة أخرى باستثناء الشروط الشكلية كالكتابة والقيد والشهر فهي شركة مستترة لا وجود لها عند الغير تنعقد بين شخصين أو أكثر ليس لها شخصية معنوية يمارس أعمالها شريك ظاهر يتعاقد مع الغير باسمه الشخصي لا بصفته ممثلا للشركة أو الشركاء، وللشركاء الحرية في الاتفاق علي تنظيم ملكية الحصص المقدمة وعلي كيفية إدارتها. وتنقضي شركة المحاصة بذات الأسباب العامة التي تنقضي بها أي شركة وكذلك بتحقق أي سبب من الأسباب الخاصة التي تنقضي بها شركات الأشخاص باعتبار أن شركة المحاصة منشركاتا لأشخاص القائمة على الاعتبارالشخصي .
