حوكمة الشركات في بيئة الأعمال الجزائرية: بين واقع الممارسة والتنظير

Résumé: تبحث هذه الورقة البحثية في واقع تطبيق حوكمة الشركات في بيئة الأعمال الجزائرية، حيث قمنا بتحليل الإطار القانوني والرقابي الذي يدعم وينظم أعمال الشركات الناشطة في بيئة الأعمال الجزائرية ومدى مساهمته في إرساء المبادئ العامة لحوكمة الشركات. بالإضافة إلى البحث في مدى نجاعة تلك الأطر في تحسين الممارسة الحوكمية لتلك الشركات من خلال تحليل كل من مؤشر الحرية الاقتصادية، مؤشر التنافسية العالمي ومؤشر سهولة ممارسة أنشطة الأعمال الخاصة بها. خلص البحث إلى تدني ترتيب الجزائر فيما يتعلق بتلك المؤشرات. الأمر الذي يتوجب عليها إعادة النظر في مناخها الاستثماري والعمل بجدية لتفعيل الآليات التي تعمل على الترسيخ والتطبيق الفعلي للحوكمة سواء على المستوى الكلي في إدارة الاقتصاد أو على المستوى الجزئي في إدارة الشركات. This research paper examines the reality of the application of corporate governance in the Algerian business environment. In doing so, we analyzed the legal and supervisory frameworks that support and regulate the work of companies active in the Algerian business environment and the extent of their contribution to the establishment of general principles of corporate governance. Moreover, the research investigates the efficacy of these frameworks in improving the governance practices of companies by analyzing their performance in terms of the Economic Freedom Index, the Global Competitiveness Index and the Ease of Doing Business Index. The research concluded that Algeria's ranking is low for these indicators. This reality requires a reconsideration of the investment climate and a serious endeavor towards activating the mechanisms that consolidate and actually implement corporate governance, whether at the macro level in managing the economy or at the micro level in managing companies.
