النظام القانوني للمؤسسة ذات الشخص الوحيد وذات المسؤولية المحدودة

Résumé: إن هذه الدراسة الموسومة تحت عنوان المؤسسة ذات الشخص الوحيد وذات المسؤولية المحدودة، والتي استحدثها المشرع الجزائري بموجب الأمر رقم 96/27، المعدل والمتمم بموجب القانون رقم 15/20، المتضمن للقانون التجاري، ولقد جاءت هذه الدراسة للوقوف على الأحكام الخاصة المنظمة للمؤسسة ذات الشخص الوحيد وذات المسؤولية المحدودة المكونة من شخص واحد، وذلك من خلال تسليط الضوء على مختلف التعديلات ومدى تماشيها مع الظروف الاقتصادية والسياسية، ومعرفة مدى استجابة الأفراد واقبالهم على انشاء مشاريعهم الاستثمارية من خلال الضمانات والتسهيلات التي أدرجها المشرع الجزائري على هذا النوع من المؤسسات تشجيعا منه للولوج إلى عالم المال والأعمال وتطوير الاقتصاد الوطني. الكلمات المفتاحية 1- المؤسسة / 2- الشخص الوحيد / 3- المسؤولية المحدودة / 4- النظام القانوني. Absract This dissertation comes under the title of single-person company with limited liability that was created by the Algerian legislator according to Order No. 96/27. The latter was amended and supplemented by Law No. 15/20 which includes the commercial law. The current enquiry aims to find out the special provisions regulating single-person firms with limited liability. The study aims also at shedding light on the various amendments and their compatibility with Algerian economic and political conditions and knowing the extent of the response of individuals and their willingness to set their investment projects through guarantees and facilities that the Algerian legislator has included on this type of companies in order to encourage the development of the Algerian national economy.
