إصدار أسهم شركة المساهمة في التشريع الجزائري

Résumé: تمر عملية إصدار السهم بمجموعة مراحل قانونية متكاملة ومعقدة بدءا بالجهات المختصة بقرار الترخيص بالإصدار سواء عند التأسيس أو بمناسبة زيادة رأس المال مرورا بتحديد حجم الإصدار ونوع الأسهم التي ستصدر إسمية أم للحامل أسهم نقدية أو أو على سبيل (usufruit) عينية مقدمة على سبيل التملك أو على أساس حق المنفعة والضمانات المقدمة في حالة الاستحقاق وضمانات العيوب الخفية. (Jouissance) الإنتفاع ثم حالة إصدار أسهم سهم الصورية. بنقلها في سجلات تحويل (Transfert) وانصبت الدراسة على تحويل الأسهم الإسمية .(Conversion) الأسهم الإسمية وفقا لبيانات هذه السجلات وتحويل الأسهم وتناولت الدراسة أيضا تحديد تسعيرة إصدار الأسهم عند تأسيس الشركة أو بمناسبة زيادة رأسمال الشركة تمنح لصاحبها نفس حقوق الأسهم القديمة أولا تمنح لصاحبها نفس حقوق الأسهم القديمة. تليها عملية تصريف الأسهم عن طريق الأسلوب المباشر أو أسلوب المؤسسة المتخصصة أو المتعهد وأخيرا دور البنوك والشركات المتخصصة في إنجاح عملية إصدار السهم. The process of issuing shares goes through a set of integrated and complex legal stages, starting with the competent authorities’ decision to license the issue, whether upon incorporation or on the occasion of a capital increase, passing through determining the size of the issue and the type of shares that will be issued nominally or to the bearer in cash shares or in kind (usufruit) offered as ownership or as a share. The basis of the right to benefit, the guarantees provided in the event of entitlement, and the guarantees for hidden defects. (Jouissance) Utilization and subsequent issuance of fictitious shares.
