الشركات ذات الشخص الوحيد في التشريع الجزائري

Résumé: الملخص: تهدف هذه الدراسة التي هي بعنوان "الشركات ذات الشخص الوحيد في التشريع الجزائري"، إلى توضيح الأحكام المشتركة بين الشركة ذات المسؤولية المحدودة ذات الشخص الوحيد وشركة المساهمة البسيطة ذات الشخص الوحيد، من حيث الأحكام الموضوعية للإنعقاد والتأسيس، والأحكام الشكلية وأحكام الإنقضاء والتصفية لهذا النوع من الشركات، ومن خلال عرضنا للبحث تبين من خلال الأحكام الخاصة بكل شركة على حدى حيث أصبح متاح لكل شخص سواء كان طبيعي أو معنوي إنشاء شركة ذات شخص وحيد، وأن ذمته المالية منفصلة عن الذمة المالية للشركة، و بالنسبة لشركة المساهمة البسيطة ذات الشخص الوحيد فقد قيدها المشرع الجزائري شكلا من حيث إنشاءها بالحصول على علامة مؤسسة ناشئة، و تتميز كذلك بسهولة إتخاذ القرارات كونها في يد المالك الوحيد للشركة، غير أنها لا تحظى بإئتمان كبير لدى البنوك و لدى دائنيها من جهة أخرى. ABSTRACT : This study, titled "Single-Person Companies in Algerian Legislation", aims to clarify the common provisions between the single-owner limited liability company and the single-owner simplified joint-stock company, in terms of the substantive provisions for contracting and establishment, the formal provisions, and the provisions for dissolution and liquidation of this type of companies. Through our presentation of the research, it became clear through the specific provisions for each company separately that any person, whether natural or legal, can establish a single-owner company, and that their financial liability is separate from the company's financial liability. As for the single-owner simplified joint-stock company, the Algerian legislator has formally restricted its establishment by requiring the acquisition of an emerging enterprise label. It is also characterized by the ease of decision-making as it is in the hands of the sole owner of the company. However, it does not enjoy significant creditworthiness with banks and its creditors on the other hand
