دور أخلاقيات الأعمال في تفعيل نظام حوكمة الشركات العائلية

Résumé: تناولت هذه الدراسة حوكمة الشركات العائلية، وهذا لأنها تلعب دورا هاما في حماية حقوق المؤسسين وأصحاب المصالح وكذا بقية أفراد العائلة ذوي المصلحة وفي هذا الإطار تم التطرق إلى أخلاقيات الأعمال الذي يساهم في تعزيز الحوكمة نظرا لمساهمته بالالتزام بالشفافية، المسؤولية والعدالة، وذلك من خلال ثلاثة محاور، تناولنا في الأول الإطار المفاهيمي لحوكمة الشركات العائلية ، ثم قدمنا لمحة حول أخلاقيات الأعمال، مع محاولة إبراز دور أخلاقيات الأعمال في تفعيل حوكمة الشركات العائلية. وهدفت هذه الدراسة إلى التعرف على حوكمة الشركات العائلية والتزامها بأخلاقيات الأعمال، وذلك باستخدام المنهج الوصفي التحليلي، والمنهج الاستقرائي. واستنتجنا أن يؤدي تحلي الشركات العائلية بالحوكمة وأخلاقيات لأعمال " إلى استدامتها بالرفع من قيمتها وتحسين صورتها لدى المجتمع ، وهذا يتطلب تشجيع هذه الشركات لتبنيها لفكرة الحوكمة مما يساعد على تطوير أليات وخلق أخرى تسمح لها ولكل الأطراف من الإستفادة . This study dealt with the governance of family businesses, because it plays an important role in protecting the rights of founders and stakeholders as well as the rest of the family members. In this context, the ethics of business, which contributes to the strengthening of governance due to its contribution to the commitment to transparency, responsibility and justice, , We first addressed the conceptual framework of family business governance and then gave a glimpse into business ethics, while trying to highlight the role of business ethics in activating family business governance. The aim of this study is to identify the governance of family businesses and their commitment to business ethics, using the analytical descriptive approach and the inductive approach. We have concluded that family businesses' governance and ethics of business will lead to their sustainability and improve their image in the community. This requires encouraging these companies to adopt the idea of governance, which helps to develop other mechanisms and creation that will allow them and all parties to benefit.
