اثر تقديم المعرفة الفنية كحصة في الشركة على حماية سريتها.

Résumé: في الاقتصاد الحر،يبنى النظام الاقتصادي والقانوني على مبدأ حرية التجارة والصناعة،فلابد إذا من إطلاق لعبة المنافسة لان القيود على حرية التعاملات مضرة،بصورة خاصة إذا ما تعلق الأمر بنقل المعرفة الفنية،التي تعد حجر الزاوية في تطور أي نظام اقتصادي. ومن مظاهر هذه القيود عدم تقديم المعرفة الفنية كحصة في الشركة بحجة حماية سريتها، والذي يشكل عائقا أمام الدول النامية-وبضمنها الجزائر-لتحقيق النمو الاقتصادي،ذلك أن بإمكان المانح أو المورد اتخاذ كافة التدابير اللازمة لحماية سرية معرفته الفنية أثناء عملية نقلها وأيا كانت صيغة هذا النقل،وتأتي البنود العقدية على رأس هذه التدابير كبنود الثقة وعدم المنافسة.طبعا كل ذلك ضمن إطار انتشار الشركات الوطنية وسيادتها،المرتبط بإبقائها ضمن إطار المنافسة المشروعة،والابتعاد قدر الإمكان عن كل ما هو غير مشروع أو ممنوع بمقتضى القوانين والاتفاقات. In the free economy, the economic and legal system is built on the principle of free trade and industry. Therefore, competition must be launched because restrictions on freedom of trade are harmful, especially when it comes to the transfer of know how, which is the cornerstone of the development of any economic system. One of the manifestations of these restrictions is the lack of know how as a share in the company under the pretext of protecting its confidentiality, which is an obstacle for developing countries - including Algeria - to achieve economic growth. the franchisor or supplier can take all necessary measures to protect the confidentiality of his know how during the transfer process, This is true within the framework of the proliferation and sovereignty of national companies, which are linked to keeping them within the framework of legitimate competition and to avoiding as far as possible from all that is illegal or prohibited by laws and agreements.
