Résumé: The existence of financial markets with high efficiency gives many advantages to the economy and financial system in the light of the availability of information and data on all the activities of corporate that are handlingthrough their money, and which leads to the development of sophisticated and sound financial markets. Any defect in these data and information leads to low efficiency of the financial market. Corporate governance is considered as an economic term which is relatively recent, and it means the subjection of the joint stock companies to the laws and the systems which impose the monitoring, the follow up, and the assurance that the data of these companies and their administrative and financial practices are characterized by maximum disclosure and transparency to protect the rights of the shareholders. Corporate governance with the meanings it carries with including transparency, disclosure and the assurance of shareholders’ rights, is considered as a mechanism to raise the efficiency and performance of the financial markets, and to maximize the value of the companies, which contributes in making these markets an engine for economic growth rather than inhibiting it, and work to reduce the failure and tumble of these companies
