شرط عدم المنافسة في نظام العمل السعودي: دراسة مقارنة

Résumé: تهدف الدراسة إلى التعرف على أحكام شرط عدم المنافسة، بمقارنة نظام العمل السعودي بالمصري، والتعرف بذلك على التنظيمات الموازنة للمصالح المتعارضة للعامل وصاحب العمل لتوصية المنظم السعودي بتبنيها. وتظهر إشكالية الدراسة في عدم كفاية بنود المادة (٨٣) الخاصة بشرط عدم المنافسة في نظام العمل السعودي لتنظيم شروط صحته، وحالات سقوطه، كما لم توضح مضمونه إن كان يقتصر على منع العامل من تملك مشروع منافس أم يشمل منعه من العمل لدى منافس. ويثور التساؤل الرئيسي حول مدى كفاية بنود المادة (٨٣) لتنظيم هذا الشرط وتأثير ذلك على حماية كلا الطرفين. وتوصلت الدراسة لوجود اختلاف فقهي في تفسير مضمون الشرط، بالإضافة لتفرد المشرع المصري باشتراط توافر الأهلية الكاملة للعامل، وعدم اقتران الاتفاق بشرط جزائي مبالغ فيه. ونوصي بتحديد مضمون شرط عدم المنافسة في المادة (٨٣) بقصره على منع العامل من تملك مشروع منافس، دون شموله العمل لدى منافس. كما نوصي بالنص على اشتراط توافر أهلية العامل الكاملة وقت إبرام اتفاق عدم المنافسة. The study examines the rules governing non-compete clauses by comparing Egyptian civil law and Saudi labor law to identify the regulatory aspects that balance the conflicting interests of employees and employers. It highlights the insufficiency of Article 83 provisions to adequately regulate the conditions for their validity and enforcement, and to clarify the scope of non-compete clauses, specifically whether they prohibit only business ownership or also employment with competitors. The primary question addresses the sufficiency and clarity of Article 83 in protecting employee and employer rights. Key findings include differing legal interpretations of non-compete clause, Furthermore, unlike the Saudi approach, Egyptian law requires employee's full legal capacity, and prohibit excessive penalty clauses. The study recommends that Article 83 be clarified to restrict employees only from owning or participating in competing businesses, not from working for competitors, and to require employees to have full legal capacity when agreeing to the clause.
