طرق زيادة رأس مال شركة المساهمة في نظام الشركات السعودي

Résumé: الملخص: تضمن هذا البحث الحديث عن المقصود بشركة المساهمة وأنها شركة يقسم رأس مالها إلى أسهم متساوية القيمة وقابله للتداول بالطرق التجارية وتتحدد فيها مسؤولية كل مساهم بقدر قيمة الأسهم التي اكتتب فيها مع ضرورة اتخاذها اسم تجاري لها. كما يبين البحث خصائص الشركة حيث أنها تقوم على الاعتبار المالي ومسؤولية الشريك فيها محدود بأسهمه ويجب أن يكون لها اسم وعنوان ويقسم رأس مالها إلى أسهم متساوية القيمة. وكما يوضح البحث رأس مال الشركة حيث أوجب المنظِّم السعودي عند تأسيس الشركة أن لا يقل رأس مالها عن خمسمائة ألف ريال وأن لا يقل المدفوع من رأس المال عند التأسيس عن الربع. ويشير البحث أيضا إلى طرق زيادة رأس مال شركة المساهمة حيث حددها المنظِّم على سبيل الحصر هي أربعة طرق جديدة وهي زيادة رأس مال الشركة عن طريق إصدار أسهم نقدية أو عينية جديدة تطرح للاكتتاب وزيادة رأس المال عن طريق تحويل الاحتياطي إلى أسهم وزيادة رأس المال عن طريق تحويل ما على الشركة من ديون إلى أسهم وعن طريق تحويل السندات إلى أسهم. الكلمات المفتاحية: شركة المساهمة، رأس المال، القانون السعودي، قانون الشركات، الأسهم النقدية، السندات المالية. The research also shows the capital of the company, as the Saudi organizer obliged, when establishing the company, that its capital should not be less than five hundred thousand riyals, and that the paid-up capital should not be less than a quarter.
