النظام القانوني لإعادة هيكلة الشركات

Résumé: أضحت الحوكمة تمثل أولوية بالنسبة للدول المتقدمة منها والسائرة نحو النمو، هذا الاهتمام كان وليد التغيرات التي شهدها العالم والأزمات الاقتصادية التي تعرض لها في العقود الأخيرة. لذا توجهت أنظار العالم نحو هذه الصيغة لضمان مناخ أعمال اقتصادي ناجع وقادر على مواجهة الرهانات المستقبلية، ولا يتحقق ذلك إلا بإتباع جملة من الإجراءات والقواعد. وعليه تهدف هذه الدراسة إلى البحث في الحوكمة من خلال المفهوم والإجراءات، وكذا استعراض أهم مبادئها ودورها في إعادة هيكلة الشركات. Governance has become a priority for developed and growth-oriented countries; this interest has been the result of the world’s changes and economic crises experienced in recent decades. So the world’s attention has been drawn to this formula to ensure a viable economic climate capable of facing future bets, this is achieved only through a number of procedures and rules. Thus, this study aims to research governance through concept and procedures, as well as reviewing its most important principals and role in corporate restructuring.
