مظاهر سيادة جمعيات المساهمين في شركة المساهمة

Résumé: جمعية المساهمين هي إحدى الهيئاتالتي تتكون منها شركة المساهمة، تتولى الرقابة وتتخذ القرارات الجوهرية والمصيرية المتعلقة بالشركة، إلا أن الفقه جرى على اعتبارها مجرد هيكل صوري يصادق على القرارات المتخذة من طرف الهيئةالإدارية فقط. ولقد حاولنا من خلال هذه الدراسة إبراز مختلف المظاهر الدالة على سيادة هذه الجمعيات وسيطرتها على شركة المساهمة كمحاولة لتغيير الفكرة السائدة لدى غالبية الفقه. The shareholders’ assembly is one of the bodies that make up the joint-stock company. It undertakes oversight and takes crucial decisions related to the company. However, jurisprudence has been considered as just a formal structure that certifies the decisions taken by the administrative body only. We have tried, through this study, to highlight the various manifestations of the supremacy of these associations and their control over the joint stock company as an attempt to change the prevailing idea of the majority of jurisprudence
