القواعد الموضوعية والإجرائية لإدراج البورصي في التشريع الجزائري

Résumé: سوق القيم المنقولة تسعى الى توفير الاعتمادات المالية للشركات قصد تمويل عملياتها الاستثمارية و هذا من خلال عملية الادراج البورصي التي تتطلب اولا وجود الشركة بشكل قانوني في شكل شركة مساهمة ، و تقوم هذه المؤسسة باختيار وسيط في البورصة ثم تقدم مذكرتها الاعلامية التي تستقطب بها العملاء ، ليأتي بعد ذلك تقديم الملف الى شركة تسيير بورصة القيم المنقولة التي تؤشر عليه بعد دراسته ، ثم تباشر الشركة حملة التسويق و البيع. و تكمن اهمية الادراج البورصي في كونه يضمن للشركة المدرجة الاعتمادات المالية التي تحتاجها من جهة اخرى يشجع الادخار و كذا استثمار رؤوس الاموال الى جانب دوره البارز في ترقية و تطوير المؤسسات الاقتصادية الى جانب الدور الموازي في ترقية الاقتصاد الوطني. غير ان الوضع في الجزائر لا زال دون المستوى المطلوب لتخوف المتعاملين و الشركات بسبب الركود الذي عرفه السوق من جهة ثم لعدم تسويق فكرة الادراج البورصي وتكثيف التظاهرات المتعلقة بشرح وافي لها مع ابراز ايجابياتها للمستثمرين و المدخرين على حد سواء. The market of movable value seeks to provide financial credits through listing process to companies to finance their investment operations. This operation needs many conditions: First, the legal existence of the company as a joint stock company. Then, attracting customers by submitting a file to the stock exchange. After that, the file must be approved by the company managing the stock market of movable value. Finally, the company may begin the marketing and sales campaign. The importance of the stock market listing lies in the fact that it guarantees the listed company the financial credits it needs, on the other hand, it encourages savings as well as capital investment, in addition to its prominent role in the promotion and development of economic institutions, in addition to the parallel role in promoting the national economy. However, the situation in Algeria is still below the required level for the fear of dealers and companies due to the stagnation that the market has known on the one hand, and then the failure to market the idea of stock market listing and the intensification of demonstrations related to a full explanation of it while highlighting its positives for investors and savers alike.
