المؤسسة الصغيرة والمتوسطة ونموذج الحوكمة الموافق

Résumé: لقد أضحت حوكمة المؤسسات أحد المناهج التسييرية المعتمدة في كافة المؤسسات بمختلف أشكالها، يستجيب الى اشكالية حماية حقوق المساهمين بصفة خاصة وحقوق مختلف الأطراف أصحاب المصلحة بصفة عامة من خلال توجيه أعمال المسيرين نحو تعظيم القيم المالية، الاجتماعية والأخلاقية للشركة. حيث حاولنا من خلال هذا البحث التعرف على امكانية تطبيق مباديء الحوكمة في المؤسسات الصغيرة والمتوسطة وفقا لنموذج واضح تتحدد على أساسه معالم نظام الحوكمة. وقد افاد البحث باستنتاج محددات لنموذج وسيط للحوكمة في المؤسسات الصغيرة والمتوسطة يتوافق مع المباديء التي قدمها ميثاق الحكم الراشد للمؤسسة في الجزائر. Corporate governance has become one of the management approaches adopted in all institutions in their various forms, responding to the problem of protecting the rights of shareholders in particular and the rights of various stakeholders in general by directing the actions of managers towards maximizing the financial, social and ethical values of the company, as we tried through this research to identify On the possibility of applying the principles of governance in small and medium enterprises according to a clear model on which the parameters of the governance system are determined. The research concluded that the determinants of an intermediate model of governance in small and medium enterprises are consistent with the principles presented by the charter of good governance for the enterprise in Algeria.
