أهمية خطابات النوايا في المرحلة السابقة للتعاقد

Résumé: تستغرق المفاوضات التي تسبق إبرام العقد الإلكتروني وقت طويل وأموال ضخمة. من أجل تسهيل مهمة التفاوض بين المستهلكين الإلكترونيين ومقدمي الخدمات والسلع في الوسائط الإلكترونية، ومن أجل الحفاظ على المصالح المختلفة لأطراف التعاقد تم الحرص على تدوين كل ما إتفق بشأنه من جزئيات العقد وذلك من خلال اللجوء إلى خطاب النوايا الذي يعد وثيقة رسمية تحدد نوايا الأطراف والإتفاقيات المبدئية التي تم التوصل إليها خلال مرحلة التفاوض، فقد ينتهي بخطاب النوايا على أنه مجرد تعهد أخلاقي، أو ينتهي بإعتباره عقد تترتب عليه مسؤولية عقدية. الكلمات المفتاحية: خطاب النوايا، مرحلة التفاوض، عقد الكتروني، اتفاقيات مبدئية، مسؤولية عقدية. Abstract: Negotiations preceding the conclusion of an electronic contract take a long time and huge money. In order to facilitate the task of negotiating between electronic consumers and providers of services and goods in electronic media, and in order to preserve the various interests of the contracting parties care was taken to write down all the agreed parts of the contract by resorting to the letter of intent, which is an official document that defines the intentions of the parties and the preliminary agreements reached during the negotiation phase, a letter of intent may end up as a mere moral commitment, or it may end up as a contract that entails contractual responsibility.
