مسؤولية الشريك في شركة التضامن
Résumé: يعتبر موضوع مسؤولية الشريك التضامنية في شركة التضامن من اهم الموضوعات الحيوية في الوقت الحالي خاصة في الأوساط التجارية فيما يجعلها جديرة بعناية المشرعين وذالك لنتشار شركات التضامن بكثرة وتعامل الكثير معها بثقة وقد هدفت هذه الدراسة الي التعريف علي مسؤولية الشريك التضامنية في شركة التضامن والتي هي عبارة عن التزام قانوني يتصل بالشريك المتضامن ويفرض عليه تسديد الديون وأيضا تم التعرف علي إدارة شركة التضامن والتي تقتضي فيها المسؤولية ان تكون تضامنية وغير محدودة عن ديون الشركة وقد اعتمدنا في دراستنا علي المنهج الوصفي و التحليلي بحيث يظهر المنهج الوصفي من خلال التعاريف الفقهية للمسؤولية التضامنية للشريك التي تجعله في مركز قانوني متميز عن باقي المراكز في الشركات الأخرى. أما المنهج التحليلي فيظهر من خلال تحليلنا لمختلف النصوص القانونية لتحديد مفهوم هذه المسؤولية وإيطارها القانوني وطبيعة العلاقة بين الشركاء والغير كما أستندنا إلى المنهج المقارن إلى جانب القانون الجزائري وعرض موقفه. وخلصت هذه الدراسة الي عدة نتائج أهمها الكلمات المفتاحية : مسؤولية ، الشريك، شركة ، التضامن Summary : The issue of the liability of the joint partner in the General Partnership Company is considered one of the most vital issues at the present time, especially in commercial circles, which makes it worthy of the legislators’ attention. This is due to the large number of partnership companies and many deal with them with confidence. A legal obligation related to the joint partner and obligating him to pay the debts. Also, the management of the joint liability company has been identified, in which the liability requires that it be joint and unlimited for the company’s debts. In our study, we have relied on the descriptive and analytical approach, so that the descriptive approach appears through the jurisprudential definitions of the joint liability of the partner, which makes him in a legal position distinct from the rest of the centers in other companies. As for the analytical approach, it appears through our analysis of the various legal texts to determine the concept of this responsibility, its legal framework, and the nature of the relationship between partners and third parties. This study concluded with several results, the most important of which are Keywords: responsibility, partner, company, solidarity
