Résumé: يقصد بتكوين عقد الشركة التجارية، اتجاه إرادة الأطراف إلى الإتفاق على جميع المسائل الجوهريـة وفقا للقاعدة الرضائية وهو ما يعرف بمبدأ الحرية التعاقدية، هذا الأخير الذي يرتبط إرتباطا وثيقا بمبدأ سلطان الإرادة الذي تنصب كل نتائجه في خانة تقديس الإرادة، بحيث يذهب أنصار هذا المبدأ إلى أن الإرادة لها السلطان الأكبر في تكوين العقد من حيث الطريقة والمقدار وفي الآثار التي تترتب عليه، بل في جميع الروابط القانونية ولو كانت غير تعاقدية، ولقد أثر زخـم نصوص القانون التجاري على مبدأ الحرية التعاقديـة في شكل قواعد آمرة وناهية، الأمر الذي دفع بالمشرع إلى فسح المجال أمام مبدأ الحرية التعاقدية في مقابل التقليل من شدّة وحدّة النصوص الآمرة، بحيث تحول نقاش الفقهاء من تكريس للحرية التعاقدية إلى نطاقها. The formation of the commercial company contract means the direction of the parties’ will to agree on all essential issues in accordance with the consensual rule, which is known as the principle of contractual freedom. The will has the greatest authority in the formation of the contract in terms of method and amount and in the effects that result from it, rather in all legal ties, even if they are non-contractual. In front of the principle of contractual freedom in exchange for reducing the intensity and severity of the peremptory texts, so that the discussion of the jurists shifted from a dedication to contractual freedom to its scope.
